Terms and Conditions

These Terms and Conditions ("Terms") govern the relationship between Order Flow Day Trading s.r.o., IČO: 29516404, with its registered office at Plzeňská 3352/156, 150 00 Prague 5, Czech Republic ("Provider"), and the individual or entity purchasing access to the educational content ("User").
1. General Provisions and Service Description
1.1. The Provider offers an online educational course regarding stock market trading ("Digital Content").
1.2. The Digital Content is delivered via the Discord platform.
1.3. All sales, billing, and tax processing are handled by Whop Payments LLC ("Whop"), acting as the Merchant of Record. By purchasing the Digital Content, the User also agrees to Whop’s terms of service.
1.4. The Service is intended exclusively for individuals aged 18 and older. By purchasing the course, the User confirms that they are at least 18 years of age.
1.5. Scope of Services: The specific scope, schedule, and features of the Digital Content are defined in the Detailed Product Description (DPD), which is an integral part of these Terms. The DPD is publicly available on the Provider’s website in the "All Legal Documents" section. By agreeing to these Terms, the User acknowledges and accepts the specifications outlined in the DPD.
2. License and Membership Duration
2.1. Upon successful payment, the User is granted a non-exclusive, non-transferable license to access the Digital Content for a period of 12 months (365 days).
2.2. This membership does not renew automatically. Access will expire at the end of the 12-month period unless a new license is purchased.
2.3. The license is for personal use only. Sharing account credentials or Discord access with third parties is strictly prohibited.
3. Service Delivery and Flexibility
3.1. Schedule: The specific schedule and weekly volume of the live sessions are defined in the DPD.
3.2. Right to Adjust: The Provider reserves the right to adjust the schedule for operational or personal reasons, provided that the total weekly volume of hours defined in the DPD is maintained. Notification rules for such changes are specified in the DPD.
3.3. Force Majeure: In the event of serious unforeseen circumstances (e.g., severe illness, critical family emergencies), the Provider may temporarily suspend services. The primary compensation for such interruption shall be the rescheduling of missed sessions at a later date, as outlined in the DPD. Such temporary interruptions do not constitute a breach of contract or grounds for a refund.
4. Financial Risk Disclaimer
4.1. Educational Purpose Only: All information provided within the course and the Discord server is for educational and informational purposes only. The Provider is not a licensed financial advisor.
4.2. No Investment Advice: Nothing in the Digital Content constitutes investment, legal, or tax advice.
4.3. Risk of Loss: Trading on financial markets involves a high degree of risk. The Provider shall not be held liable for any financial losses, damages, or claims resulting from the use of the provided information.
5. Terms of Delivery and Access
5.1. The Digital Content is considered delivered at the moment the User is granted access to the dedicated Discord server or receives login credentials via Whop.
5.2. To access the content, the User must have a valid Discord account and maintain the necessary hardware and internet connection. The Provider is not responsible for any technical issues on the side of the User or Discord Inc.
6. Withdrawal and Refund Policy
6.1. Waiver of Withdrawal Right: In accordance with Section 1837(l) of the Czech Civil Code, the User expressly consents to the Digital Content being provided immediately upon purchase.
6.2. Express Consent: By clicking the purchase button, the User provides express prior consent to begin the performance of the service before the end of the withdrawal period and acknowledges that the right of withdrawal is thereby lost once the digital performance has begun (e.g., by joining the Discord server or accessing materials).
6.3. Inadmissible Refund Grounds: Trading losses, "not as expected" subjective dissatisfaction, or failure to pass third-party evaluations (e.g., Prop Firm challenges) do not constitute valid grounds for a refund or chargeback.
7. Complaints and Warranty (Consumer Rights)
7.1. Statutory Rights: As the Provider is a Czech entity, the User (specifically consumers) has statutory rights regarding defective digital content. The Provider is responsible for ensuring that the Digital Content is functional and matches the description for the entire duration of the 12-month membership.
7.2. Filing a Complaint: If the Digital Content is defective (e.g., access is down, channels are missing or corrupted), the User may file a formal complaint via email at: info@orderflow-daytrading.com.
7.3. Assessment Period: The Provider will assess the complaint immediately. In complex cases, a decision on the validity of the complaint will be made within 3 business days. This period does not include time required for technical analysis of activity logs.
7.4. Resolution Period: Valid complaints, including the removal of defects (e.g., restoring access or fixing content), will be resolved without undue delay, no later than 30 days from the date the complaint was filed, unless otherwise agreed.
7.5. Evidence and Fraud Prevention: The Provider uses automated logging (Discord bots) to track access and interactions. These logs serve as primary evidence to determine whether a defect exists on the Provider’s side or the User’s side (e.g., User’s internet connection or hardware issues).
7.6. Abuse of Rights: Any attempt to claim a "friendly fraud" chargeback through a bank without first initiating this formal complaint process will be considered a breach of these Terms and may result in immediate termination of access.
7.7. Exclusion of Subjective Expectations: Statutory warranty and refund claims do not apply to cases where the Digital Content simply fails to meet the User’s subjective expectations, personal preferences, or perceived level of difficulty.
7.8. No Guarantee of Financial Results: Trading is inherently risky. A "defect" shall not be defined as the User’s inability to achieve financial profits, the occurrence of trading losses, or the claim that the educational materials are "not useful" for the User's specific trading style. The Provider delivers educational information, not guaranteed financial outcomes. Any claim based on subjective dissatisfaction or trading performance will be rejected as an invalid complaint.
8. Community Rules and Conduct
8.1. Users must maintain professional conduct on the Discord server. Harassment, spamming, or promotion of external services is prohibited.
8.2. The Provider reserves the right to revoke access without refund if a User violates community rules or attempts to scrape/copy the content.
9. User Content and Testimonials
9.1. By posting content in designated feedback channels on our Discord server, the User grants the Provider a non-exclusive, worldwide, royalty-free license to use this content for marketing purposes (including YouTube and social media).
9.2. Public Preview: The User acknowledges and agrees that designated channels (specifically the #testimonials channel) may be made accessible to prospective members for preview and verification purposes. Details are governed by the Privacy Policy at www.orderflow-daytrading.com.
10. Marketing Promotions and Giveaways
10.1.The Provider may organize marketing giveaways, contests, or prize draws ("Promotion") to promote its services.
10.2. Participation in any Promotion is strictly voluntary. Detailed rules, mechanics, timelines, and prize specifications will be set forth in a separate document ("Giveaway Terms" or "Promotion Rules") published on the Provider’s website or Discord server for the duration of the Promotion.
10.3. Where participation involves providing feedback or a review, the User acknowledges that the chance of winning is not contingent upon a positive rating, and entry into the draw is independent of the review's content.
10.4. The Provider reserves the right to modify, suspend, or cancel any Promotion in accordance with the terms specified in the respective Promotion Rules.
11. Governing Law and Dispute Resolution
11.1. These Terms are governed by the laws of the Czech Republic.
11.2. Consumer Rights (ADR): If a dispute between the Provider and a consumer cannot be resolved by mutual agreement, the consumer may submit a proposal for out-of-court settlement to the Czech Trade Inspection Authority (Česká obchodní inspekce – ADR), website: adr.coi.cz.
